1. ACCEPTANCE OF TERMS
1.1. By accessing or using the HSO Marine platform (the “Platform”), you (the “Customer” or “User”) expressly and irrevocably accept these Terms and Conditions (the “Terms”).
1.2. The Platform is jointly operated and offered by Huron Smith Oil CO INC, HSO Petroleum Services LLC, and HSO Global LLC (collectively, “HSO,” “HSO Marine,” “we,” or “the Provider”).
1.3. If the Customer acts on behalf of a legal entity, it declares it has sufficient authority to bind such entity.
2. DEFINITIONS
- “Platform”: The cloud-based maritime ERP system accessible via www.hsomarine.com and its subdomains, including all functionalities, updates, and new modules.
- “Operational Data”: All information entered, uploaded, or generated by the Customer during use of the Platform (AIS data, vessel records, cargo manifests, financial documents, etc.).
- “Authorized User”: Employee, contractor, or agent of the Customer with unique, non-transferable credentials.
3. LICENSE OF USE
3.1. HSO Marine grants a limited, non-exclusive, non-transferable, revocable license to use the Platform during the contracted subscription period.
3.2. This license does not confer any intellectual property rights over the Platform, its source code, algorithms, or databases.
4. CUSTOMER OBLIGATIONS
4.1. Provide accurate information and maintain credential confidentiality.
4.2. Use the Platform solely for lawful purposes, in compliance with all applicable laws, including those of the States of Mississippi and Florida, API standards (e.g., API MPMS for petroleum measurement, where applicable), and international maritime conventions (SOLAS, MARPOL, ISGOTT, OCIMF, OFAC, EU, UN sanctions).
4.3. No reverse engineering, decompiling, or attempting to derive source code.
4.4. Ensure all Authorized Users comply with these Terms.
5. INTELLECTUAL PROPERTY AND DATA
5.1. The Customer retains all rights to its Operational Data. HSO Marine acts as a data processor.
5.2. All intellectual property rights in the Platform, its code, trademarks, design, and documentation are and shall remain the exclusive property of Huron Smith Oil CO INC, HSO Petroleum Services LLC, and HSO Global LLC, or their licensors.
6. COMPLIANCE WITH API STANDARDS AND MARITIME REGULATIONS
The Platform is designed to assist the Customer in complying with relevant American Petroleum Institute (API) standards for the oil and gas industry, and with international maritime safety and transport regulations (SOLAS, MARPOL, ISPS, etc.). However, it is the Customer’s sole responsibility to verify and ensure that its use of the Platform meets all regulatory requirements applicable to its operations, particularly in jurisdictions such as Mississippi and Florida and in U.S. waters.
7. LIMITATION OF LIABILITY
7.1. The Platform is provided “as is” and “as available.” HSO Marine makes no implied warranties.
7.2. In no event shall HSO Marine (nor Huron Smith Oil CO INC, HSO Petroleum Services LLC, HSO Global LLC, nor their officers) be liable for indirect damages, lost profits, or data loss.
7.3. Total aggregate liability shall not exceed the fees paid by the Customer in the 12 months preceding the claim.
8. GOVERNING LAW AND JURISDICTION
8.1. These Terms shall be governed by the laws of the State of Mississippi, USA, without prejudice to applicable mandatory provisions of the State of Florida.
8.2. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the competent federal or state courts in Panola County, Mississippi.
9. GROUP ENTITIES
The Customer acknowledges that services are provided by Huron Smith Oil CO INC, HSO Petroleum Services LLC, and HSO Global LLC. Any notice, invoicing, or claim shall be validly addressed to any of these entities through the channels indicated on the Platform.
